These Terms of Service (“Terms”) govern the website, platform, applications, communication services, and other digital services made available by BedMatch Pro, LLC (“BedMatch,” “we,” “us,” or “our”).

These Terms apply to your access to and use of BedMatch websites, including bedmatch.health, the BedMatch platform, family and provider accounts, matching tools, artificial intelligence features, messaging tools, appointment and tour scheduling features, telephone communications, text messaging, email communications, and other services made available by BedMatch.

Please read these Terms carefully.

By accessing or using BedMatch, creating an account, submitting information, requesting a match, listing a community, communicating through the platform, or otherwise using our services, you agree to these Terms and our Privacy Policy.

If you do not agree with these Terms, please do not use BedMatch.

1. About BedMatch

BedMatch Pro, LLC operates a technology platform designed to help individuals and families identify and connect with senior living and care communities that may meet their needs.

BedMatch may provide services including:

AI powered senior living matching;

Search and comparison tools;

Community listings;

Care preference matching;

Budget and location matching;

Availability information;

Provider profiles;

Family profiles;

Tour requests and scheduling;

Communication between families and participating communities;

Placement related information;

Customer service;

Notifications and reminders;

Provider tools;

Artificial intelligence and automated assistance; and

Other services relating to senior living discovery and placement.

BedMatch may analyze information such as care needs, mobility, cognitive needs, preferences, geographic location, budget, lifestyle preferences, and other information provided by users to generate potential matches.

2. BedMatch Is a Technology and Placement Platform

BedMatch is a technology and senior care discovery platform.

Unless expressly stated otherwise, BedMatch does not own, operate, manage, control, employ, or provide the direct care services of the senior living communities displayed through the platform.

Participating communities and other providers are separate and independent businesses.

BedMatch does not itself provide:

Medical care;

Nursing care;

Assisted living services;

Memory care services;

Medication administration;

Emergency medical services;

Clinical diagnoses;

Medical treatment;

Legal advice;

Financial advice; or

Professional medical recommendations.

The decision to select, tour, contact, apply to, contract with, or move into a senior living community remains the responsibility of the user and the applicable community.

3. No Medical Advice

Information made available through BedMatch is intended to assist with senior care discovery and placement and is provided for general informational purposes.

BedMatch does not provide medical advice.

Information provided through the platform, artificial intelligence systems, customer service representatives, automated communications, community descriptions, match scores, articles, emails, text messages, or other services should not be used as a substitute for advice from a physician, nurse, licensed healthcare professional, attorney, financial advisor, or other qualified professional.

If you have questions concerning a person's medical condition, care needs, medications, treatment, or health, consult an appropriately qualified healthcare professional.

4. Emergencies

BedMatch is not an emergency service.

Do not use BedMatch, its artificial intelligence tools, website forms, text messages, emails, or messaging systems for medical emergencies or other emergencies requiring immediate assistance.

If you believe that you or another person is experiencing a medical emergency, call 911 or the appropriate local emergency service immediately.

5. Matching Services

BedMatch may use proprietary algorithms, artificial intelligence, automated systems, user supplied information, community supplied information, publicly available information, and other data to identify communities that may be relevant to a user's needs.

Match results are intended to assist users with their search.

A BedMatch recommendation, ranking, match score, search result, or other automated output does not constitute a guarantee that a particular community:

Will be appropriate for a particular individual;

Will accept a prospective resident;

Has current availability;

Can provide all requested services;

Can safely meet all medical or care needs;

Will maintain the same pricing;

Will maintain the same licensing status;

Will produce a particular health or lifestyle outcome; or

Will satisfy the preferences of every individual or family.

Users should independently evaluate communities before making a placement decision.

6. Artificial Intelligence and Automated Systems

BedMatch may use artificial intelligence, algorithms, automated assistants, automated workflows, machine learning systems, and similar technology.

These technologies may help:

Analyze user preferences;

Generate potential community matches;

Answer general questions;

Collect information;

Identify potential care requirements;

Recommend next steps;

Provide community information;

Schedule tours or appointments;

Send reminders;

Route inquiries;

Summarize communications;

Assist customer service representatives;

Assist participating providers; and

Improve BedMatch's services.

Artificial intelligence systems may occasionally generate information that is incomplete, inaccurate, outdated, or inappropriate for a particular situation.

Important placement, financial, legal, medical, licensing, availability, and care information should be independently confirmed.

7. Community Information

BedMatch may display information about senior living communities and care providers obtained from:

Participating providers;

Public licensing databases;

Government records;

Public websites;

Third party information sources;

BedMatch research;

User submissions; and

Other sources.

BedMatch attempts to provide useful and reasonably accurate information but cannot guarantee that every community listing or data point will always be complete, accurate, or current.

Information that may change includes:

Availability;

Pricing;

Licensing;

Staffing;

Services;

Amenities;

Care levels;

Admission requirements;

Policies;

Photos;

Contact information;

Room availability; and

Other community information.

Users should confirm important information directly with the applicable community before making decisions.

8. Provider Screening and Verification

BedMatch may review publicly available licensing information, service information, provider records, and other materials when evaluating communities.

Any screening, verification, quality review, or similar process performed by BedMatch is intended as a good faith informational service.

It does not constitute a guarantee of a provider's quality, safety, financial stability, licensing status, regulatory compliance, staffing, or suitability for a particular resident.

Users remain responsible for conducting their own due diligence.

9. Real Time Availability

BedMatch may provide or display information regarding available beds, rooms, units, tours, or other availability.

Availability can change at any time.

Availability information may be supplied by participating communities or other sources and may not always reflect changes that occurred after the information was submitted.

Displaying availability through BedMatch does not reserve or guarantee a bed unless BedMatch or the applicable provider expressly confirms otherwise.

10. Tours, Appointments, and Requests

BedMatch may allow users to request:

Community tours;

Consultations;

Telephone calls;

Provider communications;

Appointments;

Placement assistance; or

Other interactions.

Submitting a request does not guarantee that the requested appointment, tour, or service will be available.

Confirmation is subject to availability and may require confirmation from the applicable community or BedMatch.

11. User Accounts

Certain BedMatch services may require an account.

You agree to provide accurate, current, and complete account information.

You are responsible for maintaining the confidentiality and security of your account credentials.

You may not knowingly allow another person to access your account without authorization.

You agree to notify BedMatch if you reasonably believe your account has been compromised.

12. Information You Provide

You agree that information submitted to BedMatch will be accurate to the best of your knowledge.

The accuracy of BedMatch's matching services depends substantially on the accuracy and completeness of information provided by users and participating providers.

Information may include:

Names;

Contact information;

Age;

Family relationships;

Care preferences;

Location;

Budget information;

Mobility information;

Cognitive information;

Health and care needs;

Medication related needs;

Lifestyle preferences;

Religious or cultural preferences;

Desired amenities;

Scheduling information; and

Other information relevant to senior placement.

You should update information when circumstances materially change.

13. Information About Another Person

You may provide information concerning a family member, prospective resident, or another individual only when you have an appropriate basis or authorization to provide that information.

By submitting information about another person, you represent that you are authorized to provide the information or otherwise have a lawful basis for doing so.

14. Sensitive Information and Privacy

BedMatch may process sensitive information relating to seniors, family circumstances, care requirements, medical conditions, mobility, cognition, medications, finances, and placement preferences.

BedMatch's collection, use, disclosure, retention, and protection of personal information is further described in the BedMatch Privacy Policy.

Users should avoid submitting information that is not reasonably necessary for the requested service.

15. HIPAA Aligned Safeguards

BedMatch has implemented privacy and security practices designed around healthcare data protection principles.

BedMatch may describe certain security practices as HIPAA aligned or HIPAA grade.

BedMatch is not necessarily a healthcare provider, health plan, healthcare clearinghouse, or other HIPAA covered entity merely because users provide health related information through the platform.

Whether HIPAA applies to a particular transaction, relationship, provider, or data exchange depends on applicable law and the circumstances involved.

Nothing in these Terms creates HIPAA coverage where it does not otherwise exist under applicable law.

16. Sharing Information With Communities at Your Direction

A central function of BedMatch is helping users connect with senior living and care communities.

When you affirmatively request to contact, inquire about, schedule with, share information with, or otherwise connect with a community, you authorize BedMatch to provide the information reasonably necessary to facilitate that requested interaction.

Such information may include relevant contact information, placement preferences, care requirements, scheduling details, or other information necessary to facilitate the requested connection.

The BedMatch Privacy Policy provides additional information regarding these practices.

Importantly, sharing information with a community at your request does not transfer your BedMatch SMS marketing consent to that community.

Any community wishing to send its own marketing or promotional text messages must obtain whatever consent is independently required for its own messaging program.

17. No Guarantee of Placement

BedMatch does not guarantee that:

A user will find an acceptable community;

A provider will accept a resident;

A particular bed or unit will remain available;

A community will meet every requested preference;

A resident will qualify for a particular level of care;

A placement will occur within a specific time;

A placement will remain appropriate indefinitely; or

A particular outcome will result from use of BedMatch.

Placement decisions may depend on factors controlled by the community, prospective resident, family, healthcare professionals, regulators, insurers, financial institutions, or other parties.

18. Pricing and Financial Information

Community pricing displayed through BedMatch may include estimates, ranges, starting prices, promotional information, or information supplied by providers.

Actual costs may depend on:

Care level;

Room type;

Location;

Services required;

Medication support;

Memory care requirements;

Additional services;

Deposits;

Community fees;

Insurance coverage;

Public benefits;

Promotions; and

Other factors.

Users should obtain final pricing directly from the applicable community before making a financial commitment.

19. Payments

If BedMatch enables payment functionality, users agree to provide accurate payment information and authorize applicable charges associated with the service selected.

Terms relating to a senior living community's deposits, rent, refunds, reservation fees, care charges, cancellation policies, or other payments may be governed separately by that community's agreement.

BedMatch is not responsible for the independent payment or refund policies of participating communities unless expressly stated otherwise.

20. Provider Accounts and Listings

Providers using BedMatch agree to provide accurate and current information regarding their communities.

Provider information may include:

Licensing;

Address;

Contact information;

Care levels;

Pricing;

Availability;

Amenities;

Staffing information;

Room information;

Photos;

Policies;

Services; and

Other information presented to users.

Providers must promptly correct information that becomes materially inaccurate.

Providers may not intentionally misrepresent licensing, care capabilities, availability, pricing, credentials, services, or other information.

21. Independent Providers

Participating communities are independent from BedMatch unless expressly stated otherwise.

A community's participation on BedMatch does not create an employment relationship, partnership, joint venture, franchise, medical relationship, fiduciary relationship, or agency relationship between BedMatch and the community.

Communities remain responsible for their own:

Licensing;

Staff;

Care;

Admissions;

Contracts;

Pricing;

Billing;

Safety;

Regulatory compliance;

Clinical decisions;

Resident services;

Insurance;

Operations; and

Legal obligations.

22. Telephone Calls, Recording, and Automated Communications

Telephone calls to or from BedMatch may be monitored, recorded, transcribed, summarized, or analyzed where permitted by applicable law.

These technologies may be used for:

Customer service;

Quality assurance;

Training;

Documentation;

Placement assistance;

Appointment management;

Security;

Compliance;

Operational improvement; and

Service improvement.

Artificial intelligence or automated technologies may participate in or assist with certain telephone interactions.

Where required by applicable law, BedMatch will provide appropriate notice or obtain applicable consent.

23. BedMatch SMS and Text Messaging Terms

When you voluntarily provide a mobile telephone number and affirmatively consent to receive text messages from BedMatch, initiate a text conversation with BedMatch, or otherwise specifically request communication by text, you authorize BedMatch Pro, LLC and service providers acting solely on behalf of BedMatch to send text messages to the mobile number you provided in accordance with the consent you provided.

Depending on your relationship with BedMatch and the specific consent obtained, messages may include:

Responses to your inquiry;

Account notifications;

Senior care search communications;

Community match notifications;

Placement related information;

Requested community information;

Tour confirmations;

Tour reminders;

Scheduling or rescheduling messages;

Customer service communications;

Notifications regarding your BedMatch activity;

Requests for additional information;

Provider account notifications;

Provider onboarding communications;

Service related updates;

Follow up communications; and

Marketing or promotional communications where you have separately provided applicable consent.

Messages may be sent using an automatic telephone dialing system, automated technology, artificial intelligence, or other technology where permitted by applicable law.

Message Frequency

Message frequency varies based on your interactions with BedMatch, your account activity, your placement search, appointments, requested services, and communication preferences.

Message and Data Rates

Message and data rates may apply.

Your wireless provider's message and data rates may apply to messages sent to or received from BedMatch.

Consent Is Not a Condition of Purchase

Consent to receive marketing or promotional text messages from BedMatch is not a condition of purchasing, using, or receiving any BedMatch product or service.

Where BedMatch offers services to families without charge, SMS marketing consent is likewise not required to access those services unless text messaging is specifically necessary to provide a communication that you requested.

Opting Out

You may stop recurring BedMatch text messages at any time by replying:

STOP

After receiving a valid STOP request, BedMatch may send one final text message confirming that your opt out request has been processed.

After opting out, you will no longer receive recurring messages covered by that messaging program unless you later provide new consent.

Other commonly recognized opt out keywords may also be supported by our messaging provider.

Wireless Carrier Disclaimer

Wireless carriers are not responsible for delayed or undelivered messages.

Message delivery may be affected by network conditions, carrier availability, device settings, blocked numbers, service interruptions, or circumstances outside BedMatch's control.

Your Mobile Number

By consenting to receive text messages, you represent that:

You are the subscriber or customary user of the telephone number provided;

You have authority to consent to communications at that number;

The telephone number is accurate; and

You will notify BedMatch or update your information if the number changes or is reassigned.

Mobile Information and SMS Consent

BedMatch Pro, LLC does not sell, rent, share, transfer, exchange, or otherwise provide your mobile telephone number, SMS opt in information, or text messaging consent to third parties, affiliates, senior living communities, care providers, lead generators, or other organizations for their independent marketing or promotional purposes.

Text messaging originator opt in data and consent will not be shared with any third parties or affiliates for their own marketing or promotional purposes.

BedMatch may provide mobile information to telecommunications providers, messaging providers, customer relationship management providers, cloud infrastructure providers, automation providers, and other service providers solely as necessary to provide messaging or services on behalf of BedMatch.

These service providers may not use BedMatch SMS opt in data for their own independent marketing or promotional purposes.

Consent Does Not Transfer to Senior Living Communities

Your consent to receive text messages from BedMatch Pro, LLC applies only to BedMatch's messaging program unless you separately and directly consent to another sender.

If you request that BedMatch connect you with a senior living community, provider, advisor, or other organization, that request does not transfer, assign, or provide your BedMatch SMS opt in consent to that organization for its own marketing or promotional text messages.

Third parties are responsible for obtaining any separate consent required for their own messaging programs.

Privacy

For additional information concerning how BedMatch collects, uses, and protects personal and mobile information, please review the BedMatch Privacy Policy available through bedmatch.health.

24. Email Communications

By providing an email address or initiating an email conversation, you authorize BedMatch to communicate with you by email for purposes appropriate to your interaction.

Emails may include:

Account communications;

Requested information;

Community matches;

Appointment communications;

Provider communications;

Customer service;

Service announcements; and

Marketing where permitted and where appropriate consent has been obtained.

You may unsubscribe from marketing emails using the unsubscribe mechanism provided in those communications.

25. Communications From Participating Communities

If you affirmatively choose to connect with a participating community, the community may communicate with you regarding the inquiry you requested.

Participating communities are independently responsible for their communications and compliance with applicable law.

BedMatch does not authorize participating communities to use BedMatch SMS consent as consent for their own independent marketing campaigns.

26. User Submitted Content

Users may submit information, reviews, feedback, photographs, messages, documents, preferences, or other content through BedMatch.

You represent that you have the right to provide any information or content you submit.

You may not submit content that:

Violates applicable law;

Infringes another person's rights;

Contains malicious software;

Is knowingly false or fraudulent;

Is threatening or harassing;

Contains unauthorized confidential information; or

Is intended to abuse or interfere with the BedMatch platform.

27. Reviews and Feedback

BedMatch may permit users to submit reviews, ratings, testimonials, or other feedback.

Reviews should reflect genuine experiences and must not contain knowingly false statements.

BedMatch may moderate or remove content that violates these Terms, applicable law, platform rules, or the rights of others.

28. Permitted Use

BedMatch grants you a limited, revocable, nonexclusive, nontransferable right to access and use the platform for lawful purposes consistent with these Terms.

You may use BedMatch to search for senior care, manage placement related information, connect with communities, manage provider listings, and use other features made available to you.

29. Prohibited Conduct

You may not:

Use BedMatch for unlawful, deceptive, fraudulent, abusive, or harmful purposes;

Provide intentionally false information;

Impersonate another person or organization;

Gain unauthorized access to accounts or systems;

Circumvent access controls;

Introduce malware or malicious code;

Conduct automated attacks;

Scrape or harvest platform information without authorization;

Attempt to discover protected source code, system prompts, algorithms, security mechanisms, or proprietary technology;

Manipulate BedMatch's matching systems;

Use BedMatch data for unauthorized marketing or lead generation;

Harvest users' telephone numbers or contact information;

Send spam or unauthorized marketing;

Violate another person's privacy;

Violate intellectual property rights;

Interfere with platform operation; or

Use BedMatch in a manner that creates an unreasonable security, operational, or legal risk.

30. Intellectual Property

Unless otherwise stated, BedMatch and its licensors own or license the intellectual property associated with the platform, including:

Software;

Algorithms;

Matching systems;

Designs;

Branding;

Interfaces;

Text;

Graphics;

Databases;

Workflows;

Documentation;

Content; and

Other proprietary materials.

Nothing in these Terms transfers ownership of BedMatch intellectual property to you.

31. Third Party Services

BedMatch may integrate with or link to third party services, including:

Senior living community websites;

Scheduling providers;

Customer relationship management platforms;

Telecommunications providers;

Artificial intelligence providers;

Cloud hosting providers;

Payment processors;

Maps;

Analytics tools;

Email providers; and

Other technology services.

Third party services may be governed by their own terms and privacy policies.

BedMatch is not responsible for a third party's independent services, content, security, availability, or conduct except where responsibility cannot legally be excluded.

32. Website and Platform Availability

BedMatch attempts to maintain reliable access to its platform but does not guarantee uninterrupted availability.

Services may be temporarily unavailable because of:

Maintenance;

Software updates;

Internet interruptions;

Provider outages;

Cybersecurity incidents;

Telecommunications failures;

Technical errors;

Data source failures; or

Circumstances outside BedMatch's reasonable control.

BedMatch may modify, suspend, replace, or discontinue features from time to time.

33. Disclaimer of Warranties

To the fullest extent permitted by applicable law, BedMatch and its services are provided on an “as is” and “as available” basis.

BedMatch does not warrant that:

The platform will always be available or error free;

Every community listing will be accurate;

Every availability record will be current;

Every artificial intelligence response will be correct;

Every suggested community will be appropriate;

A particular community will accept a resident;

A particular price will remain available;

A particular care outcome will occur;

A placement will be successful; or

A third party service will operate without interruption.

34. Limitation of Liability

To the fullest extent permitted by applicable law, BedMatch Pro, LLC, its owners, officers, employees, contractors, representatives, affiliates, and technology providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or relating to:

Use of or inability to use BedMatch;

Reliance on community information;

Reliance on artificial intelligence output;

A community's acts or omissions;

A placement decision;

Changes in availability or pricing;

Delayed or undelivered communications;

Technology interruptions;

Third party services;

Information provided inaccurately by users or providers; or

Other circumstances arising from use of the platform.

Nothing in these Terms excludes liability that cannot legally be excluded.

35. Indemnification

To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless BedMatch and its employees, contractors, officers, representatives, and affiliates from claims, losses, liabilities, damages, and reasonable expenses arising from:

Your unlawful use of BedMatch;

Your violation of these Terms;

Information knowingly submitted without authorization;

Fraudulent information knowingly provided by you;

Your violation of another person's rights; or

Malicious or abusive conduct.

36. Suspension and Termination

BedMatch may restrict, suspend, or terminate access to the platform if BedMatch reasonably believes that a user:

Violated these Terms;

Created a security risk;

Engaged in fraud;

Provided materially false information;

Attempted unauthorized access;

Misused personal information;

Engaged in unlawful communications;

Abused another user, provider, employee, or system; or

Otherwise materially misused BedMatch.

37. Privacy Policy

Use of BedMatch is also governed by the BedMatch Privacy Policy.

The Privacy Policy explains how BedMatch collects, uses, processes, discloses, retains, and protects personal information.

The Privacy Policy should be reviewed together with these Terms.

38. Changes to These Terms

BedMatch may update these Terms from time to time to reflect changes in:

Services;

Technology;

Communication practices;

Business operations;

Security practices;

Applicable law; or

Regulatory requirements.

The Last Updated date at the beginning of these Terms identifies the most recent revision.

Updated Terms become effective when posted unless another effective date is stated.

39. Severability

If a provision of these Terms is determined to be invalid or unenforceable, that provision will be enforced to the maximum extent permitted by law and the remaining provisions will continue in effect.

40. No Waiver

Failure by BedMatch to enforce a provision of these Terms does not waive BedMatch's right to enforce that provision or another provision in the future.

41. Assignment

You may not assign your rights or obligations under these Terms without BedMatch's prior written permission.

BedMatch may assign these Terms in connection with a merger, acquisition, reorganization, financing, sale, transfer, or other business transaction where permitted by law.

42. Governing Law

Unless applicable law requires otherwise, these Terms will be governed by the laws of the State of Texas, without regard to conflict of law principles.

Before initiating a legal proceeding arising solely from use of BedMatch's website or digital services, you agree to make a reasonable good faith effort to contact BedMatch and attempt to resolve the matter informally.

Any jurisdiction or venue provision required by applicable law will remain applicable.

43. Entire Agreement

These Terms and the BedMatch Privacy Policy constitute the general agreement between you and BedMatch concerning use of the BedMatch platform and digital services.

Separate agreements between users and senior living communities remain independently applicable.

If a separate written agreement between BedMatch and a provider, customer, or business partner specifically addresses a subject differently from these Terms, the more specific agreement will control as to that subject.
